Article 1: Definitions

Ollies Paraplu B.V.: The company selling audio products, hereinafter referred to as “the Seller”.
Customer: The purchaser of audio products from the Seller, including both businesses and consumers.
Agreement: The agreement between the Seller and the Customer regarding the sale of audio products.

Article 2: Applicability

These general terms and conditions apply to all offers, orders, and agreements regarding the sale of audio products by the Seller, unless explicitly agreed otherwise in writing. By placing an order, the Customer accepts these general terms and conditions.

Article 3: Offer and Conclusion of the Agreement

All offers from the Seller are without obligation, unless otherwise stated. The agreement is concluded at the moment the Seller confirms the Customer’s order, either in writing or by delivering the products. The Seller reserves the right to refuse or cancel orders, for example in case of technical errors or stock problems.

Article 4: Prices and Payment

All prices are in euros, including VAT, unless otherwise stated. Payment must be made according to the payment method indicated on the invoice or on the website (e.g., bank transfer, iDEAL, credit card). If the Customer fails to pay on time, the Seller is entitled to charge interest and costs as determined by the statutory interest rate and administrative costs. In case of default, the Seller may postpone the delivery of the products.

Article 5: Delivery and Shipment

The Seller strives to deliver the ordered products as quickly as possible but is not liable for any delays beyond its control. Delivery times are indicative and cannot be considered as deadlines. Shipment takes place to the address provided by the Customer. The risks of shipment are borne by the Customer, unless otherwise agreed. The Seller is not responsible for loss or damage during shipment.

Article 6: Ownership and Risk

Ownership of the delivered products only passes to the Customer upon receipt of full payment by the Seller. The risk of loss or damage to the products passes to the Customer upon delivery.

Article 7: Right of Withdrawal

The Customer, as a consumer, has the right to withdraw from the agreement within 14 days of receipt of the products without giving any reason. The product must be returned unopened in connection with hygiene. Products that are not sealed cannot be returned. The Customer must inform the Seller in writing of the withdrawal, after which the Customer must return the products within 14 days. The costs of return shipment are borne by the Customer, unless otherwise agreed.

Article 8: Returns and Exchanges

Products can only be returned if they are in their original condition and undamaged, including the original packaging. In the event of a defect or damage to the product upon receipt, the Customer must inform the Seller within 48 hours of delivery. In that case, the Seller will replace the defective product free of charge or refund the purchase price. Products that are specially made or that cannot be returned for hygiene reasons are excluded from the right of withdrawal.

Article 9: Liability

The Seller is only liable for direct damage resulting from a failure to fulfill the agreement, insofar as this damage is the result of intent or gross negligence on the part of the Seller. The Seller’s liability is limited to the amount paid out by the Seller’s insurer or, if this is lower, the amount paid by the Customer for the product in question.

Article 10: Warranty

The Seller offers the warranty provided for the audio products (2 years), unless otherwise agreed. The warranty covers defects arising from material or manufacturing defects, but does not apply to damage caused by improper use, accidents, or normal wear and tear. The Customer can return a product under warranty to the Seller, who will examine the defective product and replace it if necessary.

Article 11: Intellectual Property

All intellectual property rights relating to the products, such as copyrights, patents, trademarks, and design rights, remain the property of the Seller or the relevant rights holder. The Customer is not permitted to copy, reproduce, modify, or otherwise infringe on the Seller’s intellectual property rights.

Article 12: Privacy and Personal Data

The Seller processes the Customer’s personal data in accordance with applicable privacy legislation. The data will only be used for the execution of the agreement and for communication with the Customer about the order. For more information, the Customer can consult the Seller’s privacy policy. The Seller does not store personal data longer than is necessary for the execution of the agreement and legal obligations.

Article 13: Disputes and Applicable Law

Dutch law applies to these general terms and conditions and the agreement between the Seller and the Customer. Disputes will first be resolved through mediation. If mediation does not lead to a solution, the dispute will be submitted to the competent court in the jurisdiction of the Seller.
